Terms of Video Submission

By submitting your video (“Video”) to Lions Ground (“we” or “Lions Ground”), you (“you” or “submitter”) agree to the following Terms of Submission:

1. Ownership and Rights:
   a. You confirm that you are the rightful owner of the Video, or you have obtained all necessary rights, licenses, and permissions from the appropriate parties, including but not limited to any individuals appearing in the Video, to grant us the rights outlined in these Terms of Submission.
   b. You retain all ownership rights to your Video, except as expressly granted in these Terms of Submission.
2. Grant of License:
   a. By submitting the Video to Lions Ground, you grant us a non-exclusive, royalty-free, worldwide, perpetual, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, modify, and create derivative works based on the Video, in any media now known or hereafter devised, for any purpose, including but not limited to promotional and commercial purposes.
   b. This license includes the right to monetize the Video by earning revenue through platforms such as YouTube or any other relevant media platform.
3. Indemnification:
   a. You agree to indemnify and hold harmless Lions Ground, its officers, directors, employees, and affiliates from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach of these Terms of Submission or any violation of applicable laws or rights of third parties by you.
   b. Lions Ground reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Lions Ground in asserting any available defenses.
4. Representation and Warranty:
   a. You represent and warrant that:
   i. The Video does not infringe upon the intellectual property rights or any other rights of any third party.
   ii. The Video does not violate any applicable laws or regulations.
   iii. You have obtained all necessary releases and permissions from any individuals or entities appearing in the Video, including but not limited to the right to use their likeness, image, voice, or any other identifiable attributes.
   iv. The Video does not contain any defamatory, obscene, or otherwise objectionable content.
   b. You acknowledge that Lions Ground has no control over the actions of viewers who may access or use the Video, and Lions Ground disclaims any responsibility or liability for their actions.
5. No Obligation:
   a. Lions Ground reserves the right, in its sole discretion, to review, edit, refuse, remove, or delete any Video submitted to us for any reason, without prior notice or liability.
   b. Lions Ground has no obligation to use or distribute the Video you submit and may remove or disable access to the Video at any time, without prior notice or liability.
6. Governing Law and Jurisdiction:
   a. These Terms of Submission shall be governed by and construed in accordance with the laws of the jurisdiction in which Lions Ground is based, without regard to its conflict of law provisions.
   b. Any disputes arising under or in connection with these Terms of Submission shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction in which Lions Ground is based.

By submitting your Video to Lions Ground, you acknowledge that you have read, understood, and agreed to these Terms of Submission in their entirety. These Terms of Submission constitute the entire agreement between you and Lions Ground regarding the submission of your Video and supersede any prior or contemporaneous understandings or agreements, whether oral or written.
